Summary

In its Internal Whistleblowing Rules, Artner has set forth necessary matters for whistleblowing to prevent fraud that is conducted with respect to illegal or fraudulent acts in the performance of duties that come into the knowledge of the Company’s officers and employees. Through these rules, Artner prevents the occurrence of illegal situations or endeavors to correct them if they have already occurred to keep losses of the Company’s profit to a minimum and ensure that duties are performed impartially. Additionally, in its aim to ensure that the Company’s compliance management effectively functions, Artner takes necessary measures to keep officers and employees who provide legitimate notification from being treated disadvantageously. The Company spreads awareness of its whistleblowing helpline through compliance training and other means.

Committee on Internal Whistleblowing System to Prevent Fraud

When they believe an illegal or fraudulent act has taken place in the performance of duties, officers and employees can provide notification of those acts in writing, over the phone, or through other means to the Committee on Internal Whistleblowing System to Prevent Fraud (“the Whistleblowing Committee”), whose general contact point is the Audit and Supervisory Committee. Members of the Whistleblowing Committee are forbidden from divulging any secrets that come into their knowledge with regard to duties. The same continues to apply even after they cease to be members of the Committee.
If it is found to be necessary, the Whistleblowing Committee may consult with legal advisors. Additionally, a secretariat is established in the Internal Audit Office to assist with administrative affairs for investigations and other whistleblowing-related matters.
In instances when it makes the decision to accept a notification, the Whistleblowing Committee commences an investigation to verify associated facts right away. Upon receiving a report of the investigation results, the President and CEO issues an accusation as necessary, and also takes required measures to prevent reoccurrence.
By providing legitimate notifications and cooperating in investigations, neither whistleblowers nor cooperating parties are subject to any disadvantageous treatment.
